These Terms of Service ("Terms") are a binding agreement between you and Pivlyn, LLC ("Pivlyn," "we," "us," or "our") governing your use of the Pivlyn mobile application, websites, software, and related services (collectively, the "Services"). By creating an account, clicking to accept, or using the Services, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and authority
You must be at least 18 years old, located in the United States, and legally capable of entering into this agreement. If you use the Services for a business, trust, household, or another person, you represent that you have authority to do so and to provide the information involved.
2. What Pivlyn provides
Pivlyn provides self-directed software for organizing financial information, exploring planning scenarios, and generating educational estimates. Pivlyn is not a bank, broker-dealer, investment adviser, tax return preparer, accounting firm, law firm, insurance producer, lender, creditor, credit-repair organization, consumer reporting agency, or fiduciary. Pivlyn does not hold customer funds or securities, execute transactions, file tax returns, sell financial products, or make credit or insurance decisions.
The Services and all outputs are for general informational and educational purposes. They are not individualized investment, tax, accounting, legal, insurance, credit, or other professional advice and are not a substitute for a professional who understands your circumstances.
3. Accounts and security
You must provide accurate information, keep it current, safeguard your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by Pivlyn's breach of these Terms or applicable law. You may not share credentials or bypass authentication or security controls.
Pivlyn may require reauthentication, multi-factor verification, or other steps to protect the account. We may suspend access when reasonably necessary to address security, fraud, legal, or operational risk.
4. Household and professional access
The Services may let you invite household members or other people. An invitation authorizes that person to access information and features associated with the household according to the assigned role. You are responsible for inviting only authorized people, selecting appropriate access, and removing access when it is no longer wanted. Information contributed to a shared household may remain available to other authorized household members until it is removed or the household relationship is changed.
5. Your information and permissions
You retain ownership of information and content you submit. You grant Pivlyn a nonexclusive, worldwide, royalty-free license to host, copy, process, display, and transmit that content only as reasonably necessary to operate, secure, improve, and support the Services, comply with law, and carry out your directions. This license ends when the content is deleted from active systems, subject to backup cycles and lawful retention.
You represent that you have the rights and permissions needed to provide the content and authorize its processing. Do not submit information belonging to another person unless you are authorized to do so.
6. Connected accounts and third-party services
If you connect a financial account, you direct Pivlyn and its provider, Plaid, to retrieve the information you select. You authorize ongoing retrieval until you disconnect the connection. Pivlyn does not receive the credentials entered in Plaid Link. Connected access is designed to be read-only; Pivlyn cannot move money or execute trades through the Services.
Third-party data may be delayed, unavailable, duplicated, incomplete, or inaccurate. Pivlyn is not responsible for a financial institution's or other third party's acts, terms, availability, or data. Your use of a third-party service is also governed by that party's terms and privacy policy.
7. Planning outputs and assumptions
Outputs depend on user-provided information, third-party data, assumptions, tax rules, market inputs, and mathematical methods. Estimates, projections, simulations, scores, and automated outputs are illustrative. They may omit material facts, may not reflect current law or market conditions, and are not guarantees of future results. Past performance does not guarantee future performance.
You are responsible for reviewing inputs and outputs, deciding whether they are appropriate for your situation, and obtaining any professional advice you need before acting. Do not rely on Pivlyn as the sole basis for an investment, tax, legal, insurance, borrowing, or other consequential decision.
8. Acceptable use
You will not:
- use the Services unlawfully, fraudulently, or to harm another person;
- access or attempt to access another account, household, system, or data without authorization;
- interfere with security, integrity, availability, rate limits, or operation of the Services;
- reverse engineer, scrape, copy, resell, or create a competing service from the Services except where law expressly permits;
- upload malicious code or content that infringes rights or violates privacy;
- use outputs to make unlawful discriminatory or high-impact eligibility decisions about another person; or
- represent that a Pivlyn output is a professional opinion, regulatory filing, tax return, audit, valuation, or guaranteed result.
The Acceptable Use Policy is incorporated into these Terms.
9. Beta and TestFlight use
Pre-release features may be incomplete, change without notice, or contain errors. Beta access is personal, revocable, and provided to evaluate the Services and provide feedback. Do not use a beta feature for an emergency, a filing deadline, or as the sole basis for a consequential financial decision. Additional Beta Testing Terms apply to TestFlight and other pre-release access.
10. Pivlyn property and feedback
Pivlyn and its licensors own the Services, software, design, trademarks, documentation, and all related intellectual-property rights. Subject to these Terms, Pivlyn grants you a limited, personal, nonexclusive, nontransferable, revocable license to use the Services for your own lawful purposes.
If you submit feedback, you grant Pivlyn a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.
11. Availability, changes, and termination
We may add, change, suspend, or discontinue features. We do not promise uninterrupted or error-free availability. You may stop using the Services at any time and may submit the current beta account-closure request through Settings. That request does not automatically delete household data, immutable evidence, or provider records; the current process is described at pivlyn.com/account-deletion. We may suspend or terminate access for a material or repeated violation, fraud, security risk, legal requirement, or discontinuation of the Services. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnity, and dispute terms—will survive.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PIVLYN DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. PIVLYN DOES NOT WARRANT THAT DATA OR OUTPUTS ARE COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR A PARTICULAR DECISION, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR SECURE.
Some jurisdictions do not allow certain disclaimers, so they apply only to the extent permitted by law.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIVLYN AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL; OR LOSSES FROM AN INVESTMENT, TAX, FINANCIAL, INSURANCE, OR OTHER DECISION, EVEN IF ADVISED OF THE POSSIBILITY.
PIVLYN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PIVLYN FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.
These limits do not apply to liability that cannot lawfully be limited, and your state may provide additional rights.
14. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Pivlyn and its members, managers, employees, and contractors from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, content you provide, infringement of another person's rights, or material breach of these Terms. This section does not require indemnification for Pivlyn's own unlawful conduct.
15. Governing law and disputes
North Carolina law governs these Terms, without regard to conflict-of-laws rules. Any judicial proceeding arising from these Terms or the Services must be brought in the state or federal courts located in or serving Union County, North Carolina, and each party consents to their jurisdiction and venue. Before filing a claim, contact admin@pivlyn.com and provide a brief description so the parties can try to resolve it informally. Nothing in this section limits a right to bring an eligible matter in small-claims court or seek urgent injunctive relief.
16. Apple terms
For the iOS application:
- These Terms are between you and Pivlyn, not Apple. Pivlyn, not Apple, is responsible for the application and its content.
- Apple has no obligation to provide maintenance or support. If the application fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation.
- Pivlyn, not Apple, is responsible for addressing claims relating to the application, including product-liability, legal-compliance, and intellectual-property claims.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as supporting terrorism and are not on a U.S. Government prohibited- or restricted-party list.
- You must comply with applicable third-party terms when using the application.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce this section against you.
Apple's Standard Licensed Application End User License Agreement also applies to the extent it does not conflict with these Terms.
17. General terms
These Terms, the policies incorporated by reference, and any additional terms presented for a feature are the entire agreement regarding the Services. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without Pivlyn's consent; Pivlyn may assign them in connection with a merger, reorganization, financing, or sale of the relevant business. Headings are for convenience only. Electronic communications and acceptance satisfy any writing requirement permitted by law.
We may update these Terms. We will post the updated version and provide notice of material changes as required. Continuing to use the Services after the effective date means you accept the updated Terms.
